Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of RoofLeadHQ's services ("Services"). By signing up for, paying for, requesting, or using the Services, you ("Customer") agree to these Terms.

2. The Services

RoofLeadHQ provides done-for-you lead-response and lead-recovery services for roofing contractors. This currently includes: New Lead Response, a subscription lead-response system covering fast first response to inbound leads, AI phone answering, SMS follow-up sequences, a lead dashboard, weekly and monthly reporting, and customized, founder-led setup; Revenue Recovery, a separate, performance-priced campaign described in Section 10 below; and Visibility and Content, a separate, optional offering covering a complimentary visibility assessment, a one-time brand and visibility refresh, and recurring content creation and publishing, described in Section 11 below. RoofLeadHQ helps move qualified homeowners toward booked inspections on the Customer's calendar. Customer stays in control of every sales decision. Except where Section 10, Section 11, or a separate written agreement states otherwise, references to "the Services" in these Terms mean New Lead Response.

3. Setup

Setup is customized and founder-led. RoofLeadHQ configures the system for the Customer's lead sources, service area, qualification questions, follow-up preferences, and calendar workflow. Every plan receives the same setup and workflow - the only difference between plans is monthly lead volume.

4. Pricing

Monthly plans. The monthly list price and included Qualified Lead allowance for each published plan are shown below. Current annual prepaid pricing and any Custom pricing are shown at purchase or in an approved order form.

Every published plan includes the same available features; the primary difference is the monthly Qualified Lead allowance. There is no setup fee. Founder-led setup is included on every plan.

Custom plans. For Custom allowances of 700, 800, 900, 1,000, 1,100, and 1,200 leads, the included Qualified Lead allowances are 630, 720, 810, 900, 990, and 1,080, respectively. The corresponding overage rates are $1.70, $1.70, $1.65, $1.60, $1.55, and $1.50 per Qualified Lead. The monthly price and maximum monthly overage are stated in the applicable order form.

Plan Limits and Overage

A Qualified Lead is a lead that satisfies all of the following mechanical criteria: (a) it is an eligible, real homeowner inquiry and is not a demo or test lead or otherwise flagged as ineligible; (b) the homeowner has not opted out; (c) the contact number is not on Customer's crew or internal-number list; (d) the property is within Customer's service area; (e) it is not a call shorter than 20 seconds from which no information was captured; (f) a name was captured; (g) either a property address or a stated need was captured; and (h) it is not a duplicate contact from the same phone number within a rolling 30-day period. The same phone number may count as no more than one Qualified Lead during any rolling 30-day period.

A lead that does not satisfy every Qualified Lead criterion may still be delivered to Customer, but it will not count toward the plan allowance and will not be billed as overage. RoofLeadHQ records the decision and a plain-language reason.

When Customer reaches approximately 90% of the monthly Qualified Lead allowance, RoofLeadHQ will send a usage notice. Qualified Leads beyond the allowance are billed at the applicable per-lead rate shown above or in the Custom order form.

Monthly overage charges are capped at 50% of the applicable monthly plan price. Accordingly, the combined monthly plan charge and monthly overage charge will not exceed 150% of the applicable monthly plan price. After the dollar cap is reached, additional Qualified Leads that month are delivered at no additional charge. This cap applies to the dollar amount of overage charges; the number of overage leads charged before the cap is reached may vary by plan.

Overage is calculated after the applicable billing month closes and is billed monthly in arrears to Customer's payment method on file. At least three calendar days before RoofLeadHQ submits an overage charge, it will email the account owner at the email address on file. The notice will identify the billing month, the number of overage leads, the applicable rate, any automatic credits, the proposed charge, and the scheduled charge date.

For an annual prepaid plan, overage is calculated using the standard monthly per-lead rate for that plan, not the discounted effective monthly price of the annual plan. Overage is billed monthly in arrears with the same advance email notice.

Overage disputes. Customer may dispute an overage lead using the contact method stated in the overage notice within 30 calendar days after the notice date. The first three overage leads Customer disputes for a billing month are automatically credited without a merits review. This allowance resets each billing month and applies only once to each disputed lead. If received before the scheduled charge, an automatic credit reduces that charge; if received later, the credit is applied to the next invoice or refunded if there is no later invoice. Any additional disputes will be evaluated under the Qualified Lead criteria above.

Sustained growth. If Qualified Lead usage is at or above 125% of the plan allowance for two consecutive billing months, or reaches 250% of the allowance in one billing month, RoofLeadHQ will initiate a move to the published plan that fits the volume, where the per-lead rate is lower. RoofLeadHQ will email the account owner at least seven calendar days before a plan change takes effect. The trigger month is billed normally under the overage rules above; no transition waiver applies.

For a month-to-month plan, the new plan rate applies on the next billing date and is not retroactive. For an annual prepaid plan, RoofLeadHQ will present the prorated difference for the remaining term for Customer's affirmative confirmation before charging it; the renewal date will not change. If Customer does not confirm, the current annual plan remains in place through the prepaid term and the overage rules continue to apply. RoofLeadHQ may propose the fitting tier at renewal. If there is no higher published tier, RoofLeadHQ will conduct a Custom pricing review rather than make an automatic plan change.

No introductory or promotional pricing. Unless an order form expressly states otherwise, there is no introductory rate, trial pricing period, or automatic graduation from an introductory rate. Published plan pricing applies from the first billing cycle.

Pricing in this Section 4 applies to New Lead Response. Revenue Recovery is priced and governed separately as described in Section 10.

5. Billing and Payment

Monthly plan fees are billed in advance on a recurring basis and are non-refundable, including for partial months. Annual plan fees are prepaid as shown at purchase. There is no setup fee.

Overage charges are billed monthly in arrears to the payment method on file, no earlier than three calendar days after the advance email notice described in Section 4. For annual prepaid plans, overage is billed monthly using the plan's standard monthly per-lead rate. Customer authorizes RoofLeadHQ to charge the payment method on file for recurring plan fees, annual-tier adjustments Customer affirmatively confirms, and overage charges calculated and noticed under Section 4.

This Section 5 applies to New Lead Response. Fees for Visibility and Content are invoiced manually and confirmed as described in Section 11; they are not charged to a payment method on file, and RoofLeadHQ stores no card or other payment instrument for that offering.

6. No Guarantee of Outcomes

RoofLeadHQ supports faster response, cleaner follow-up, and calendar movement toward booked homeowner inspections. RoofLeadHQ does not guarantee booked jobs, signed contracts, revenue, customers, projects, completed roofing work, qualified appointments, or any other outcome outside RoofLeadHQ's control.

7. Customer Responsibilities

Customer is responsible for the accuracy of the business details it provides, including its service area and crew or internal-number list; for its own sales decisions and homeowner communications after handoff; and for compliance with applicable law in its dealings with homeowners.

8. Acceptable Leads

The same phone number may count as no more than one Qualified Lead during any rolling 30-day period.

Only a Qualified Lead counts toward Customer's plan allowance or overage. A lead that fails any criterion may still be delivered to Customer but does not count and is not billed as overage; RoofLeadHQ records the decision and reason.

9. Messaging, Call Recording, and Consent Compliance

The Services send automated SMS and place or answer calls on the Customer's behalf. Customer authorizes this messaging and is responsible for maintaining a lawful basis for contacting the homeowners whose information it provides or forwards to RoofLeadHQ. Homeowners may reply STOP to opt out of SMS. An opted-out lead does not count as a Qualified Lead under Sections 4 and 8.

Calls placed or answered through the Services are handled by an automated scheduling assistant and are recorded, transcribed, and may be summarized using automated systems. Customer authorizes RoofLeadHQ and its service providers to perform this processing solely to provide, support, secure, and document the Services, including lead qualification, appointment scheduling, follow-up, quality assurance, account support, and dispute resolution.

Recording and transcription are enabled only when the configured notice and consent procedure has been approved for the called person's jurisdiction. Where recording is enabled, the call begins with the required notice. If the applicable procedure cannot be determined or delivered, recording and transcription remain disabled for that interaction. Customer will not disable, remove, bypass, contradict, or instruct RoofLeadHQ to omit a required notice.

Customer represents that it has the rights, permissions, and lawful basis necessary for the outbound calls, contact information, instructions, and communications it submits to the Services. Customer will not use the Services to contact a person in violation of an opt-out request or applicable law. RoofLeadHQ and Customer remain responsible for the legal obligations that apply to their respective activities.

10. Revenue Recovery

Revenue Recovery is a separate, managed campaign offered by RoofLeadHQ that re-engages a contractor's prior roofing opportunities. A contractor may request a Revenue Recovery Review through the application.

Submitting a Revenue Recovery Review request starts a review only. It is not acceptance into a Revenue Recovery Campaign, does not activate homeowner outreach, does not create a subscription, and incurs no fee.

An accepted Revenue Recovery Campaign is governed by a separate written Revenue Recovery Agreement and order form between RoofLeadHQ and Customer, which control the terms of that campaign, including its scope, pricing, and performance terms. These Terms apply to Revenue Recovery only to the extent the Revenue Recovery Agreement does not address a given topic.

No homeowner outreach may begin merely because a contractor applies, signs an agreement, or transfers records. Before outreach, the contractor must approve the specific Record Group and sign a separate Activation Authorization identifying the channels, dates, and scope. Each record and channel must also satisfy RoofLeadHQ's then-current, counsel-approved contact rules and suppression controls. RoofLeadHQ may reject, hold, suspend, or remove any record or campaign where authority, consent, provenance, number ownership, jurisdiction, suppression, or another required fact is missing, ambiguous, expired, contradicted, or unresolved.

The contractor is responsible for lawfully obtaining and controlling the records it supplies and for the legal authority, consent, permission, notices, and suppression information supporting communications made on its behalf. Purchased, rented, scraped, appended, and third-party marketing lists are not eligible.

Revenue Recovery has no upfront campaign fee. If accepted, the customer pays five percent (5%) of Attributable Collected Revenue as defined in the Revenue Recovery Agreement and Attribution and Reconciliation Exhibit. Replies, appointments, inspections, estimates, signed-but- uncollected jobs, and uncollected amounts do not create a fee. A statement and review occur before a manual invoice; nothing is charged automatically.

As with the Services generally, RoofLeadHQ does not guarantee any result from a Revenue Recovery Review or Revenue Recovery Campaign, including any contact, response, inspection, sale, collection, revenue, or profit.

Information an applicant submits with a Revenue Recovery Review request is handled under RoofLeadHQ's Privacy Policy.

Precedence. If RoofLeadHQ and a customer enter into a separate written agreement for a service, that agreement controls the covered service to the extent it conflicts with these Terms.

11. Visibility and Content Services

Visibility and Content is a separate, optional offering for roofing and restoration companies. It is available whether or not the company uses New Lead Response, and it does not change, include, or depend on any other service.

Complimentary Visibility Assessment. A company may request a complimentary assessment of how its business appears online. RoofLeadHQ reviews publicly available business information — for example the company’s own website, its public social profiles, and public business listings — and prepares a written assessment. Requesting or receiving an assessment is free, creates no subscription, and obligates the company to purchase nothing. An assessment is a review of publicly visible information on the date stated in it. RoofLeadHQ does not access any account, sign in to any platform, or change any property in order to prepare one. Findings RoofLeadHQ could not confirm from public information are identified as not verified rather than assumed, and third-party ratings, review counts, and public records are reported as observed on the source and may change.

Hosted Assessment Reports. A completed assessment is made available on a private page on a RoofLeadHQ domain, reached through a long, randomly generated link RoofLeadHQ provides. The page is not indexed by search engines and is not listed or published anywhere, but anyone holding the link can open the report, so the company should share it only with people it intends to see it. RoofLeadHQ may update or remove a hosted report.

Authority to Request. A person who submits an assessment request represents that they are authorized by the company to submit the business information in the request and to request the assessment on the company’s behalf.

Selecting a Service Records a Choice; It Is Not a Purchase. The hosted report lists the available services and their prices. Selecting one records the company’s choice and opens an engagement. It is not a checkout: no payment details are collected on that page, nothing is charged, and no work begins. RoofLeadHQ then emails the company a secure onboarding link and an invoice. Paid work begins only after the onboarding form is returned and RoofLeadHQ confirms that payment has been received.

Onboarding. Before work begins, the company completes a secure onboarding form reached through a private link. On it the company confirms or corrects the business details carried over from its assessment request and supplies what RoofLeadHQ cannot establish from public information: the business name, website address, and phone numbers to publish; how its street address should be handled; its service areas and services; the calls to action it approves; each factual claim it wants stated, together with what supports that claim; the writing tone and time zone; the platform profiles in scope and the access state of each; links to any imagery it wants used, together with its permission to publish that imagery; and the date it would like service to start. The form does not ask for, and will not accept, a password, login, access code, or other credential for any platform. A submission containing one is refused and nothing from it is saved.

Fees. The Brand and Visibility Refresh is $499, charged one time. Content and Visibility Management is $299 per service month. A company that starts both at the same time is invoiced $798 initially — the $499 refresh fee plus the first $299 service month — and $299 for each service month after that. The $798 is the sum of the two fees. It is not a package rate, it carries no bundle discount, and the $499 refresh fee is not waived, credited, or offset against the monthly service. A service month runs from the company’s own start date and on the same day of each following month; it is not a calendar month.

Invoicing and Payment. Fees for this offering are invoiced manually and paid by the method stated on the invoice. RoofLeadHQ does not store a card or other payment instrument for this offering and charges nothing automatically. A payment is recorded only after RoofLeadHQ confirms it has been received, and that confirmation is what allows paid work to begin.

Brand and Visibility Refresh. A one-time service performed on the company’s existing website and on the business profiles it authorizes. It covers the existing homepage plus up to two additional existing pages the company chooses; making the business name, address, and phone number consistent; confirming the roofing and restoration services described; putting the approved calls to action in place; placing the approved trust signals; and updating the authorized business profiles. It does not include a website rebuild or redesign, a platform migration, new hosting or domain setup, new pages, major custom development, unlimited revisions, unlimited directory cleanup, paid advertising management, new or professional photography, custom video production, or major logo or branding work.

Content and Visibility Management. A recurring service under which RoofLeadHQ prepares up to eight original publish-ready posts per service month, roughly two per week, and adapts each of those posts for the channels the company has authorized. A platform adaptation is not an additional post. One original post adapted for Facebook, Instagram, LinkedIn, and Google Business Profile is one of the eight, not four, and there is no per-channel limit and no per-channel charge. The eight are measured per service month and do not accumulate. The service does not include paid advertising management, unlimited website changes, daily comment or direct-message management, unlimited custom design, or custom video production.

Publication Happens Only Through Access the Company Grants. RoofLeadHQ publishes, schedules, or changes something only on a property the company has authorized it to act on, and only on a channel the company has marked Authorized. A profile link is not authorization. A link tells RoofLeadHQ where a page is; authorization is granted by the company inside the platform’s own sharing tools, and RoofLeadHQ records only that it was granted. RoofLeadHQ never asks for and never stores a platform password, login, or access code. The company may withdraw access at any time. Where a channel is not authorized, or access is unavailable, RoofLeadHQ will say so and will not publish there. RoofLeadHQ does not publish through automated platform integrations and does not represent that it does.

RoofLeadHQ Publishes Only the Business Facts the Company Approved. RoofLeadHQ publishes the business facts the company approved at onboarding, and does not independently verify them. A factual claim — about experience, years in business, licensing, certifications, awards, ratings, warranties, response times, or similar — is published only where the company supplied what supports it. A claim with nothing to support it is not used.

Customer-Supplied Imagery. Imagery is supplied by the company and is used only with the company’s explicit permission, which it gives at onboarding. The company confirms it holds the rights and permissions needed for each image, including permission from any person or property shown. RoofLeadHQ does not present stock or AI-generated imagery as the company’s own completed work.

Customer Responsibilities. The Customer is responsible for the accuracy of the business information it confirms, including its business name, address, phone numbers, service areas, services, and any license, certification, or credential it asks RoofLeadHQ to state. The Customer is also responsible for granting and maintaining the access required, for approving the content strategy and content guidelines, and for supplying any materials it wants used.

Customer Materials and Content. The Customer keeps ownership of the logos, photographs, testimonials, and other materials it provides, and grants RoofLeadHQ permission to use them to perform the Services. The Customer confirms it holds the rights and permissions needed for those materials, including for any person or property shown in a photograph and for any testimonial. On payment, the Customer owns the client-specific content RoofLeadHQ produces for it. RoofLeadHQ keeps all rights in its own reusable templates, processes, systems, content frameworks, and methods. RoofLeadHQ uses a Customer’s work publicly as a portfolio example only if the Customer separately agrees.

Platforms and Third Parties. Facebook, Instagram, LinkedIn, Google Business Profile, and other third-party platforms are controlled by their operators. Their availability, features, publishing methods, review processes, and policies change without notice and are outside RoofLeadHQ’s control. RoofLeadHQ does not control whether a platform accepts, displays, ranks, or continues to display any content, and does not guarantee rankings, engagement, reach, or lead volume. The Customer remains bound by each platform’s own terms.

Relationship to the Visibility and Content Services Agreement. Paid Visibility and Content services are governed by a separate written Visibility and Content Services Agreement between RoofLeadHQ and the Customer, which controls the scope, fees, approvals, and other terms of that engagement, and which the Customer acknowledges on the onboarding form. These Terms apply to those services only to the extent that agreement does not address a given topic, and where the two conflict on the same subject, that agreement controls. Information submitted with an assessment request or an onboarding form is handled under RoofLeadHQ’s Privacy Policy.

12. Intellectual Property

RoofLeadHQ retains all rights in the Services, software, and configurations. Customer retains ownership of its own business and customer data.

13. Termination

Either party may terminate at any time. For a month-to-month plan, cancellation takes effect at the end of the current paid billing cycle. For an annual prepaid plan, cancellation stops renewal and service continues through the end of the prepaid term. Plan fees, including prepaid annual fees, are non-refundable except where required by law. Overage incurred through the end of service remains due under Sections 4 and 5. Termination of a Revenue Recovery Campaign is governed by the applicable Revenue Recovery Agreement.

14. Disclaimers and Limitation of Liability

The Services are provided "as is." To the maximum extent permitted by law, RoofLeadHQ disclaims all warranties not expressly stated here and is not liable for indirect, incidental, or consequential damages. RoofLeadHQ does not promise or ensure closed jobs, signed contracts, revenue, projects, or completed roofing work. This disclaimer applies to New Lead Response and to any Revenue Recovery Review or Revenue Recovery Campaign, in addition to any disclaimers stated in a Revenue Recovery Agreement.

15. Changes to These Terms

RoofLeadHQ may update these Terms. Material changes will be communicated to active Customers before they take effect. RoofLeadHQ will obtain affirmative acceptance of new or materially changed overage-billing terms before applying overage charges to an active Customer. Continued use after any other update constitutes acceptance, subject to applicable law and any additional consent expressly required by these Terms.
